These Terms of Use (the “Terms”) govern your access to and use of the websites, pages, and online experiences that link to these Terms (collectively, the “Site”), operated by The Podcasting Podcast Corporation Incorporated and its affiliates and designees, including without limitation, Friends Keep Secrets (collectively, “Friends Keep Secrets,” “we,” “our,” or “us”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Plain-English overview (not a substitute for the Terms): The Site is a business-card destination for our podcast production work. Please don’t send us creative ideas or materials, we don’t accept or review them. The Site is informational only. It does not create a job offer, casting opportunity, or any advisory relationship. Disputes are governed by California law with arbitration as described below.

3. Eligibility; Intended Use; No Professional Advice

The Site is intended for a general audience 18 years of age or older and is provided for informational purposes only. It does not provide legal, financial, health, or other professional advice. You may use the Site only if you can form a binding contract with Friends Keep Secrets and are not prohibited from doing so by applicable law.

4. Intellectual Property; Limited License

All content on the Site, including text, graphics, logos, photographs, video and audio clips, artwork, layouts, interfaces, and the overall look-and-feel (collectively, “Content”), is owned by Friends Keep Secrets or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, Friends Keep Secrets grants you a limited, non-exclusive, non-transferable, revocable license to access and display the Site and Content on your personal device solely for your non-commercial, informational use. Except as expressly permitted, you may not reproduce, distribute, modify, create derivative works of, publicly perform or display, or otherwise exploit the Site or Content without our prior written permission.

5. Trademarks

Friends Keep Secrets and associated logos and trade dress are trademarks of Friends Keep Secrets. All other names and marks are the property of their respective owners. No rights or licenses are granted by implication or otherwise.

6. Unsolicited Submissions Policy (Do Not Send Creative Materials)

We do not accept or review unsolicited ideas or materials of any kind, including scripts, treatments, formats, concepts, podcast ideas, loglines, artwork, compositions, or other creative content (collectively, “Unsolicited Submissions”).

If you nevertheless send us an Unsolicited Submission (including via the Site, email, social media, or postal mail): (a) it is not confidential; (b) we have no obligation to review, acknowledge, or return it; (c) we may use, disclose, or develop content that is similar or identical without compensation or credit to you; and (d) no fiduciary, agency, or implied-in-fact contract is created by your submission. For details, see our standalone Submissions Policy linked in the Site footer.

This policy applies to all channels, including any email addresses or contact details that may appear on the Site now or in the future, as well as direct messages or postal mail. Any creative materials you send despite this policy are governed by our Submissions Policy, which disclaims confidentiality and compensation and includes a waiver of claims.

7. Feedback (Non-Creative)

We welcome general comments about the Site (collectively, “Feedback”). By submitting Feedback, you grant Friends Keep Secrets a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without restriction. Feedback does not include creative ideas or materials, which are governed exclusively by Section 6 and the Submissions Policy. 9. Prohibited Uses

You will not (and will not enable others to): 

  • use the Site in violation of law or these Terms;

  • send Unsolicited Submissions or infringing, defamatory, deceptive, or otherwise harmful content;

  • access or use the Site to build a competing service, or for benchmarking or scraping Content;

  • use any robot, spider, crawler, scraper, or other automated means to access the Site or Content without our prior written permission;

  • interfere with or disrupt the Site (including by overloading, flooding, spamming, or introducing malware);

  • attempt to probe, scan, or test the vulnerability of the Site or breach security or authentication measures;

  • remove, obscure, or alter any copyright, trademark, or other proprietary notices on the Site or Content;

  • frame or mirror any part of the Site without our express consent.

10. Third-Party Services, Players, and Links

The Site may include links to third-party websites or embedded media players (e.g., video or podcast platforms). Those services are not under our control and are governed by their own terms and privacy policies. Friends Keep Secrets is not responsible for and does not endorse any third-party sites, services, or content. 

11. Informational Nature; No Employment, Casting, or Agency Relationship

The Site may describe past, current, or prospective projects. Nothing on the Site constitutes an offer of employment or casting opportunity, and contacting us does not create a confidential, fiduciary, agency, or professional relationship.

12. DMCA Notice; Repeat Infringers

Friends Keep Secrets respects intellectual property rights. If you believe that Content on the Site infringes your copyrights, please follow the instructions in our DMCA Policy (included in the Privacy Policy) to submit a notice. We may remove or disable access to material alleged to be infringing and, where appropriate, terminate repeat infringers.

13. Privacy

Your use of the Site is also subject to our Privacy Policy and Cookie Notice, which explain how we collect, use, and share information, and how you can exercise your choices. 14. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRIENDS KEEP SECRETS AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRIENDS KEEP SECRETS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL FRIENDS KEEP SECRETS TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE CASES, THE ABOVE LIMITATIONS WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Friends Keep Secrets and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Site or Content; or (c) your violation of law or the rights of any third party.

17. Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Except as provided in Section 18 (Arbitration), the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction for any actions not subject to arbitration, and you and Friends Keep Secrets waive any objection to venue or inconvenient forum in those courts.

18. Dispute Resolution; Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. It requires you to resolve certain disputes with us through binding arbitration and limits the manner in which you can seek relief.

(a) Informal Resolution. Before filing a claim, you agree to email us at info@fksshow.com with a brief written description of the dispute and your contact information, and you and Friends Keep Secrets will attempt to resolve the dispute informally within 30 days.

(b) Agreement to Arbitrate. If we cannot resolve a dispute informally, any claim, dispute, or controversy between you and Friends Keep Secrets arising out of or relating to the Site or these Terms will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. Arbitration will take place in Los Angeles, California, before a single arbitrator. The arbitrator will apply California law and the Federal Arbitration Act (FAA) as applicable, and will have the authority to award any relief available in court, including injunctive relief and attorneys’ fees where authorized by law.

(c) Exceptions. Either party may bring an individual action in small claims court, or seek injunctive or other equitable relief in court to prevent (i) actual or threatened infringement, misappropriation, or violation of intellectual property rights, or (ii) unauthorized access to or use of the Site.

(d) Class-Action and Jury Trial Waiver. YOU AND FRIENDS KEEP SECRETS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND Friends Keep Secrets WAIVE ANY RIGHT TO A JURY TRIAL.

(e) Costs. JAMS rules will govern payment of filing, administration, and arbitrator fees. The arbitrator may award fees and costs as permitted by law.

(f) Opt-Out. You may opt out of this arbitration agreement by emailing info@fksshow.com within 30 days of the Effective Date of these Terms or your first use of the Site, whichever is later, with the subject line “Arbitration Opt-Out” and your full name and contact information.

19. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason. Upon termination, the rights and licenses granted to you under these Terms will end immediately.

20. International Users

The Site may be accessible worldwide. You are responsible for complying with local laws where you access the Site. Access to the Site from territories where the Content or Site is unlawful is prohibited.

22. Miscellaneous

These Terms, together with our Privacy Policy, Cookie Notice, Submissions Policy, and DMCA Policy (each incorporated by reference), constitute the entire agreement between you and Friends Keep Secrets regarding the Site and supersede any prior or contemporaneous understandings on the subject matter. If additional terms apply to specific features or services, those terms will control to the extent of any conflict with these Terms. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms without our prior written consent; we may assign our rights and obligations under these Terms in connection with a merger, acquisition, financing, or sale of assets. No waiver of any term will be deemed a further or continuing waiver of such term.

We share personal information as follows:

  • Service Providers/Processors: hosting/CDN; security and anti-fraud; analytics/measurement; email/newsletter (if enabled); form processing; customer communications. These parties may only process data under our instructions.

  • Advertising/Analytics Partners (if enabled): to measure reach and (where used) provide cross-context behavioral advertising. In California, this may be considered a “share” (not a sale). You can opt out via our “Do Not Sell/Share” link and GPC.

  • Legal, safety, and compliance: to comply with law, respond to lawful requests, or protect our rights, users, or others.

  • Corporate transactions: in the event of a merger, acquisition, financing, or sale of assets.

We do not sell personal information.

Friends Keep Secrets is based in the United States, and personal information we collect may be processed in the United States and other countries. Where required by applicable law (including the UK GDPR), we use appropriate safeguards for international transfers, such as Standard Contractual Clauses and the UK International Data Transfer Addendum.

EEA/UK (GDPR/UK GDPR). You have rights to access, rectify, erase, restrict, object (including to profiling/analytics), portability, and to withdraw consent at any time (without affecting prior processing). India (DPDP Act). If you are in India, you may contact our grievance contact at info@fksshow.com regarding this Policy and our processing of your personal data. We will review and respond within a reasonable time.

  • Analytics data (e.g., GA4): up to 14 months.

  • Contact Inquiries (email or future contact form): approximately 12 months after resolution.

  • Newsletter data (when enabled): until you unsubscribe, after which we may retain limited proof of your consent and opt-out. We may retain data longer if required by law, to resolve disputes, or to enforce agreements, and will then delete or anonymize it.

10) Children

The Site is intended for users who are 18 years of age or older. We do not knowingly collect personal information from individuals under 18. If you are a parent or guardian and believe your child under 18 has provided us with personal information, please contact us at info@fksshow.com and we will take appropriate steps to delete it. We do not sell or share the personal information of individuals we know to be under 18.

11) Security

We use reasonable administrative, technical, and physical safeguards designed to protect personal information. No method of transmission over the Internet or method of electronic storage is 100% secure.

12) Third-party sites and services

The Site may link to or embed third-party sites, services, and media players. Their privacy practices are governed by their own policies. We are not responsible for the privacy or security practices of third parties. When you interact with third-party embeds (e.g., pressing play on a media player), those services may collect data per their own policies; you can manage non-essential cookies via Cookie Settings and Your Privacy Choices.

We may update this Policy from time to time. When we make material changes, we will update the Effective Date and provide additional notice as appropriate. Your continued use of the Site after changes take effect means you accept the updated Policy.

Friends Keep Secrets (“Friends Keep Secrets”, “we”, “us”) respects intellectual property rights and expects users and partners to do the same. This policy describes our procedures under the U.S. Digital Millennium Copyright Act, 17 U.S.C. § 512 (the “DMCA”), for reporting alleged infringement on websites and online services we operate that link to this policy (the “Site”).

  5. Good-faith statement: A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

  6. Accuracy & authority statement (under penalty of perjury): A statement that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

Format & delivery. Email is preferred. Notices that are incomplete, unclear, or that fail to include the elements above may be ineffective.

To help us process your notice quickly and safely, please:

  • Provide specific URLs where the material appears (not just a home page).

  • Do not send executable files or password-protected archives; standard document or image formats are sufficient.

  • If the material is hosted on a third-party platform (e.g., YouTube, Vimeo, Spotify), you should also submit a notice to that platform following its DMCA procedures.

3) Our Response to a Valid Notice

Upon receiving a valid DMCA notice, we may remove or disable access to the identified material and, where appropriate, notify the user or entity that posted the material. We may terminate repeat infringers as described below. We may also provide a copy of the notice to the user who posted the material.

We are not required to adjudicate disputes and may decline to restore content absent a valid Counter-Notice or a clear resolution between the parties.

We may keep copies of notices, counter-notices, and related correspondence as permitted by law.

4) Submitting a Counter-Notice (User Who Posted Material)

If material you posted was removed or disabled due to a DMCA notice and you believe the material was removed as a result of mistake or misidentification, you may send a written Counter-Notice to the DMCA Agent that includes all of the following (see 17 U.S.C. § 512(g)(3)):

  1. Signature: Your physical or electronic signature.

  2. Identify the material: Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access disabled (e.g., specific URL(s)).

  3. Perjury statement: A statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification of the material.

  4. Jurisdiction & service: Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if outside the U.S., for any judicial district in which Friends Keep Secrets may be found), and that you will accept service of process from the person who provided the original notice or that person’s agent.

Restoration. If we receive a valid Counter-Notice, we may restore the material within 10–14 business days, unless the original complainant informs us that they have filed an action seeking a court order to restrain you from engaging in infringing activity.

5) Repeat Infringer Policy

In appropriate circumstances, it is our policy to terminate users or accounts deemed to be repeat infringers. We may deem a user a repeat infringer, for example, if we receive multiple valid notices regarding that user within a reasonable period or a single egregious infringement. We also reserve the right to remove content or disable access by any user who infringes others’ rights, whether or not repeat infringement is involved.

6) Standard Technical Measures

We will accommodate and not interfere with standard technical measures used by copyright owners to protect their works, as defined in 17 U.S.C. § 512(i), provided such measures do not impose substantial costs or burdens on the Site.

7) Important Disclaimers

  • No legal advice. This policy is informational and does not constitute legal advice.

  • Accuracy of notices. Submitting knowing misrepresentations in a notice or counter-notice may expose you to liability for damages, including costs and attorneys’ fees, under 17 U.S.C. § 512(f).

  • Third-party platforms. Some content displayed on the Site (e.g., embedded video or audio players) may be hosted by third-party services. If the allegedly infringing material is hosted by a third party (not Friends Keep Secrets), you may also need to submit a notice directly to that service.

  • Forwarding & transparency. We may forward complete notices (including contact information) to the user who posted the material and, for transparency, may submit a copy to a public database (e.g., the Lumen Database). We will not do so where prohibited by law.

Friends Keep Secrets (“Friends Keep Secrets,” “we,” “us”) is a podcast production company. To avoid misunderstandings, disputes, and claims, we do not accept or review unsolicited submissions of creative ideas or materials.

Summary (not a substitute for the policy): Please do not send us scripts, treatments, formats, concepts, loglines, artwork, podcast ideas, or other creative content. If you send something anyway, it is not confidential, we have no obligation to review or respond, we may already be working on similar or identical ideas, and you waive any claims based on our use of similar content.

1) Scope

This policy applies to any idea, suggestion, proposal, pitch, storyline, character, format, design, artwork, photograph, composition, recording, audiovisual work, treatment, outline, script, logline, tag line, title, podcast concept, or any other creative material (collectively, a “Submission”), sent to Friends Keep Secrets by any means, including (without limitation): 

  • our website (including contact forms),

  • email to any Friends Keep Secrets address,

  • direct messages or posts on social media platforms,

  • physical mail or courier delivery to any Friends Keep Secrets location, and

  • delivery through third parties not expressly authorized by Friends Keep Secrets in writing.

This policy does not apply to (i) non-creative, general Feedback about the website; or (ii) creative materials we specifically request under a separate written agreement (e.g., a commissioned engagement or a formally announced call-for-submissions with its own terms). Any such agreement will govern instead of this policy.

2) No acceptance; no review; no return

We may update the Site and these Terms from time to time. When we do, we will revise the “Effective Date” above and may provide additional notice as appropriate. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

  • No acceptance. Friends Keep Secrets does not accept unsolicited Submissions.

  • No review or response. If you send one anyway, we may not read or review it and we have no obligation to acknowledge, evaluate, or respond.

  • No return. We are not obligated to return or preserve any material (physical or electronic) and are not responsible for loss, deletion, or destruction of any Submission.

3) No confidential relationship; no implied promises

Sending a Submission to Friends Keep Secrets does not create a confidential, fiduciary, agency, employment, or professional relationship; there is no implied-in-fact or implied-in-law contract between you and Friends Keep Secrets in connection with any Submission. Do not mark or treat any Submission as confidential; we have no duty to keep it confidential.

4) Similar ideas; independent development; waiver and release

You acknowledge that Friends Keep Secrets and its collaborators may currently or in the future develop, receive, or consider creative content, pitches, concepts, formats, characters, storylines, or other materials that are similar or identical to your Submission.

To the maximum extent permitted by law, you waive and release any claim against Friends Keep Secrets and its affiliates, officers, directors, employees, agents, licensees, successors, and assigns, arising from or related to: 

  • alleged use or disclosure of your Submission;

  • alleged similarity between your Submission and any content, project, production, format, or idea used, developed, acquired, commissioned, or exploited by Friends Keep Secrets; and

  • alleged obligations to compensate, credit, or account to you in connection with any Friends Keep Secrets content or project.

5) If you send a Submission anyway — license grant 

Without limiting Sections 2–4 above, if you nevertheless submit any creative material to Friends Keep Secrets without our express written consent, you hereby grant Friends Keep Secrets a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, fully sublicensable and transferable license to use, reproduce, adapt, modify, publish, translate, create derivative works from, distribute, perform, and display the Submission (in whole or in part) in any media now known or later developed, without compensation, notice, or obligation to you. You represent and warrant that you have all rights necessary to grant this license.

6) Minors

Submissions must not be made by individuals under 18 years of age. If you are under 18, do not send any Submissions. Parents/guardians who believe a minor has submitted materials should contact info@fksshow.com.

7) How to contact us (do not send creative materials)

For general inquiries not involving creative materials, contact info@fksshow.com. Do not send creative materials to this or any other Friends Keep Secrets address.

8) Relationship to Terms of Use; changes

This policy supplements and is incorporated by reference into the Site’s Terms of Use. Dispute resolution, governing law, and venue are as stated in the Terms of Use. We may update this policy from time to time; the Effective Date above will reflect the latest version
